CONSTITUTION AND BY-LAWS
OF THE WOODSTOCK ACADEMY ALUMNI ASSOCIATION

This association shall be known as The Woodstock Academy Alumni Association.
The object of this association shall be to keep alive the memories of school life, and to promote, in general, the interests of The Woodstock Academy.
All persons shall be considered members of this association, who have completed at least one semester at The Woodstock Academy. Also all officers, administrators, and faculty of said Academy shall be honorary members of this association. Also, any person may be made a full member of this association by a majority vote of the members present at any annual meeting after approval by the Alumni Association Executive Committee.
This association shall hold an annual meeting each year, to be held during the Annual Meeting of the Corporators of The Woodstock Academy.
The Alumni Association Executive Committee (AAEC)
The officers of this association shall consist of a President, a Vice-President, a Secretary, a Treasurer, and a Committee of Three (3).
The Officers shall be elected by the members of the Association at the annual meeting hereinafter provided for. The officers shall hold office for a term of two (2) years beginning on the first day of the following month after being elected. Each officer shall be limited to a maximum of two (2) succeeding terms in the same office.
In the event of a vacancy in any of the offices, the members of the Alumni Association Executive Council, hereinafter provided for, may designate a temporary officer who shall fill the vacant office until the current term has expired.
The purpose of the AAEC shall be to lead the Association.
The powers and duties of the AAEC shall undertake such activities as in its opinion will carry out the object of the Association. The AAEC shall consider any matters that may be brought to its attention by the Board of Trustees of The Woodstock Academy or by the Head of School, and when so requested, shall give its opinion thereon in writing.
The AAEC shall be composed of the Officers of the Association and representatives from the Association. The number of members, not including Officers, shall be no greater than twenty-eight (28). The members of the AAEC shall be nominated by the Officers of the Association in consultation with the Office of Advancement, and approved by the Association by a simple majority of those present at the annual regular meeting. Members of the AAEC, other than Officers, shall serve a term of three (3) years, with a maximum of two (2) succeeding terms.
The AAEC shall schedule at least six (6) regular meetings of the AAEC each year to be held at the call of the Officers of the AAEC. The members present shall constitute a quorum for transaction of all business, and a majority of those present shall be sufficient to adopt any resolution of the AAEC.
The AAEC, on the recommendation of the President, may establish from time to time such ad hoc committees as may further the purposes of the Association. The President of the Association of the Association shall appoint committee chair(s) and the members of the committees with the consultation of the AAEC. The President of the Association shall be an ex-officio member of all committees with a vote. The members of the Office of Advancement shall serve as ex-officio members of all committees without vote.
There shall be the following standing committees of the AAEC whose chair(s) shall be members of the AAEC.
a) The Nominating Committee which shall recommend candidates for nomination by the Officers of the AAEC to fill positions on the AAEC and which shall nominate candidates for President, Vice-President, Treasurer, and Secretary of the Association.
b) The Fundraising Committee which shall oversee all fundraising efforts of the Association including but not limited to the WA Alumni Salad Booth at the Woodstock Fair.
c) The Constitution Committee which shall recommend amendments and changes to the Constitution and By-Laws
d) The Scholarship Committee which shall seek applications for the awarding of an annual Alumni Scholarship(s) and will coordinate the selection of the recipient in conjunction with the Academy’s scholarship coordinator.
Alumni Reunion Weekend
The AAEC, in consultation with the Office of Advancement, shall designate annually a weekend by arrangement with the Head of School to be celebrated by a reunion of the alumni of The Woodstock Academy and to be known as “Alumni Reunion Weekend.”
Such designation shall be made at least six weeks prior to the date selected; and all of the alumni of The Woodstock Academy, whose addresses are available to The Academy, shall be notified at least thirty (30) days in advance.
ARTICLE VII. AMENDMENTS
These By-Laws may be amended by a two-thirds vote of the members of the AAEC present at any regular meeting of the AAEC, or by a two-thirds vote of the members of the Association present at any regular or special meeting of the Association, if at least thirty (30) days prior to the date of the meeting a copy of such proposed amendment(s) shall be sent to all reachable members of the Association at their address as listed in the Alumni or The Woodstock Academy’s database, or without notice, to the members of the Association, if the amendment(s) shall have been recommended by the AAEC.
